Any refund or credit adjustment will be handled according to the applicable purchase terms and mandatory law.

We may update subscription prices periodically.

Price changes affecting an existing subscription will be communicated in accordance with the applicable agreement and legal notice requirements.

9. Renewals, Cancellation, and Refunds

Nothing in these Terms excludes refund or cancellation rights that cannot lawfully be waived.

9.5 Account closure

Customers may request account closure through the designated support process.

Account closure and data deletion are subject to applicable laws, contractual requirements, and the data retention provisions in our Privacy Policy.

We may investigate suspected violations and take reasonable, proportionate corrective action.

11. Business Intelligence and Third-Party Information

ekigai may provide information about companies, industries, market developments, professional contacts, and potential business opportunities.

Such information may be obtained from:

  • Publicly accessible business sources.

  • Commercial data providers.

  • Customer-provided information.

  • Authorized third-party integrations.

  • AI-generated research and analysis.

Although we aim to support relevant and useful research, we do not guarantee that every item of information is complete, current, accurate, or suitable for a particular commercial purpose.

Company information, contact details, professional roles, market developments, and potential buying signals may change over time.

Customers must independently verify material information before relying on it for significant business decisions or external communications.

11.1 Buying signals

Signals such as expansion announcements, hiring activities, investments, or industry developments may indicate potential commercial opportunities.

These signals do not establish that a company has a confirmed procurement requirement or has expressed actual purchasing interest.

11.2 Prospect contact information

Where the service makes business contact information available, customers are responsible for using that information in compliance with applicable privacy, marketing, and communications laws.

11.3 Third-party data restrictions

Certain business intelligence information may be subject to restrictions imposed by data providers, applicable licenses, or legal requirements.

Customers must comply with those restrictions where communicated as part of the service.

12. Artificial Intelligence and Generated Content

Certain ekigai capabilities use artificial intelligence to generate research, recommendations, summaries, business intelligence, and simulation outputs.

AI-generated content is intended to assist human users.

It should not be treated as independently verified professional advice, guaranteed commercial intelligence, or a definitive representation of facts.

12.1 AI accuracy

Artificial intelligence systems may produce inaccurate, outdated, incomplete, inconsistent, or misleading information.

Customers are responsible for reviewing and validating AI-generated material before relying on it.

12.2 Human judgment

Customers retain responsibility for material commercial decisions, including prospect selection, outreach, qualification, pricing, negotiations, and contractual commitments.

12.3 No guaranteed outcomes

ekigai does not guarantee:

  • A particular number of qualified leads.

  • Prospect responses or booked meetings.

  • Confirmed buyer interest.

  • Sales conversions or purchase orders.

  • Revenue growth or profit improvement.

  • Successful contract negotiations.

  • Accurate prediction of buyer behavior.

Any examples, demonstrations, forecasts, or illustrative outcomes should not be interpreted as guaranteed results.

12.4 AI-generated recommendations

Users should exercise independent judgment when interpreting opportunity scores, buyer assessments, targeting recommendations, or simulated responses.

13. AI Buyer Simulation

ekigai may offer AI-powered buyer simulation capabilities that allow users to practice business conversations using simulated buyer personas.

These simulations may use professional information, company research, customer-supplied context, or hypothetical scenarios.

13.1 Purpose

AI Buyer Simulation is intended for sales preparation, training, objection-handling practice, and business conversation rehearsal.

13.2 Hypothetical personas

AI-generated buyer personas are simulations and do not represent actual statements, intentions, opinions, or decisions of identifiable individuals.

13.3 Limitations

Simulation results may not reflect how a real buyer will behave in a commercial interaction.

13.4 Responsible use

Customers must not use simulation outputs to:

  • Falsely represent a real person's statements or endorsement.

  • Impersonate an individual in external communications.

  • Mislead third parties about confirmed purchasing decisions.

  • Create deceptive audio or other misleading representations.

  • Infer or exploit sensitive personal characteristics unlawfully.

13.5 Voice and recorded content

Where voice-based simulations or recordings are available, their processing and retention will be governed by the applicable product terms, customer agreements, and Privacy Policy.

Users must not upload or use another person's voice, recording, or likeness without appropriate authorization or another valid legal basis.

14. Customer Data and Uploaded Content

Customers may submit information, documents, instructions, prospect records, business details, and other content to ekigai.

The customer retains ownership of its pre-existing intellectual property and rights in content submitted to the platform.

By submitting content, the customer grants ekigai a non-exclusive, worldwide, limited license to host, process, reproduce, transmit, and otherwise use that content to the extent reasonably necessary to provide the services, maintain security, fulfill authorized instructions, and perform applicable contractual obligations.

This license does not transfer ownership of customer content to ekigai.

Customers represent that they have the necessary rights, permissions, or lawful basis to submit and process the information provided.

Customers must not upload:

  • Unlawfully obtained information.

  • Information that infringes third-party rights.

  • Confidential third-party material without authorization.

  • Unnecessary sensitive personal information.

  • Malicious files or executable content intended to compromise the service.

Processing of personal information is governed by our Privacy Policy and any applicable Data Processing Agreement.

15. Intellectual Property Rights

All rights, title, and interest in the ekigai platform, including its software, interfaces, design elements, trademarks, logos, documentation, underlying technology, and proprietary methods, remain with ekigai or the relevant rights holders.

Customers receive a limited, non-exclusive, non-transferable right to access and use the platform during their authorized subscription period, subject to these Terms.

Unless expressly permitted, customers must not:

  • Copy, reproduce, or distribute proprietary platform components.

  • Reverse engineer software except where legally permitted.

  • Remove copyright, trademark, or ownership notices.

  • Commercially sublicense or resell the platform.

  • Use proprietary platform elements to build an unauthorized competing service.

15.1 Customer-generated outputs

Subject to applicable law, third-party rights, and any restrictions communicated through the service, customers may use outputs generated through their authorized use of ekigai for their lawful internal business purposes and permitted commercial activities.

15.2 AI-generated content ownership

AI-generated content may not qualify for exclusive intellectual property protection in every jurisdiction.

Similar or identical outputs may be generated for other users.

ekigai does not guarantee that AI-generated outputs are unique, copyrightable, or free from third-party intellectual property claims.

16. Third-Party Services and Integrations

Certain features may rely on third-party providers for AI processing, hosting, business data, analytics, communication, or other technical services.

Additional integrations may become available as the platform develops.

Customers acknowledge that:

  • Third-party services may have separate terms and privacy policies.

  • Availability may depend on third-party systems.

  • Third-party providers may change their services.

  • Certain integrations may require independent subscriptions or authorization.

  • Third-party service interruptions may affect related functionality.

We will exercise reasonable care in selecting and managing service providers as required by applicable agreements and law.

Future integrations are not guaranteed unless specifically committed to in writing.

17. Data Privacy and Protection

We process personal information in accordance with our Privacy Policy and applicable data protection obligations.

The Privacy Policy explains how personal information may be collected, used, stored, shared, and protected.

Customers are responsible for ensuring that information they submit is collected and used lawfully.

Where ekigai processes personal information on behalf of business customers, an applicable Data Processing Agreement may govern the parties' respective responsibilities.

For further details, please refer to:

Privacy Policy: https://ekigai.ai/privacy-policy/

18. Confidentiality

Each party may receive confidential business, technical, commercial, or operational information from the other party.

Confidential information includes information identified as confidential or information that should reasonably be understood to be confidential given its nature and circumstances.

Each party agrees to:

  • Use confidential information only for authorized purposes.

  • Protect confidential information using reasonable safeguards.

  • Restrict access to persons with a legitimate need to know.

  • Avoid unauthorized disclosure.

  • Comply with applicable confidentiality obligations.

These obligations do not apply to information that is publicly available without breach, lawfully received from another source without confidentiality restrictions, independently developed, or required to be disclosed by law.

Where disclosure is legally required, the receiving party will provide notice where permitted and reasonably practicable.

19. Service Availability and Maintenance

We aim to provide reliable access to the platform.

However, uninterrupted or error-free service availability cannot be guaranteed.

Access may occasionally be affected by:

  • Scheduled maintenance.

  • Platform updates.

  • Technical disruptions.

  • Internet or infrastructure failures.

  • Third-party service interruptions.

  • Security incidents.

  • Events outside our reasonable control.

We may perform maintenance and deploy updates where necessary.

Where reasonably practicable, we will provide advance notice of planned maintenance that materially affects paid services.

Any specific availability commitments, service credits, or uptime guarantees will be governed by an applicable Service Level Agreement, if provided.

20. Modification of Services

We may update the platform to introduce enhancements, address security risks, maintain compatibility, meet legal obligations, or improve performance.

We may also modify available features, technical configurations, and service limitations.

For material changes that adversely affect a paid subscription, we will provide notice and any contractual remedies required by the applicable agreement or law.

Descriptions of planned or future capabilities do not create a contractual obligation to release those features unless expressly agreed in writing.

21. Suspension and Termination

We may suspend or terminate access where reasonably necessary because of:

  • Material violations of these Terms.

  • Fraudulent or unlawful activity.

  • Unauthorized access or serious security risks.

  • Continued non-payment.

  • Misuse of platform resources.

  • Legal or regulatory obligations.

Where appropriate, we will provide notice and a reasonable opportunity to remedy the issue.

Immediate action may be necessary to prevent serious security, legal, or operational harm.

21.1 Termination by customers

Customers may terminate their subscription in accordance with the applicable cancellation provisions.

21.2 Effect of termination

After termination or expiration:

  • Rights to access paid services may end.

  • Outstanding lawful charges remain payable.

  • Customer information will be handled in accordance with the applicable data retention and deletion terms.

  • Provisions intended by their nature to survive termination will remain effective.

Data export availability, timing, and any applicable charges will be governed by the subscription agreement and published service terms.

22. Disclaimer of Warranties

To the maximum extent permitted by applicable law, and except for express warranties provided in a written agreement, the services are provided on an "as available" basis.

We do not warrant that:

  • Every AI output will be accurate or complete.

  • Business contact information will remain current.

  • Potential opportunities will lead to confirmed sales.

  • Every third-party integration will be continuously available.

  • The platform will satisfy every customer's unique commercial requirements.

  • The platform will be free from all interruptions or defects.

Nothing in these Terms excludes warranties, obligations, or remedies that cannot lawfully be excluded.

23. Limitation of Liability

To the maximum extent permitted by applicable law, neither party shall be liable to the other for indirect, incidental, special, consequential, or punitive damages arising from the use of the services, including lost profits or lost business opportunities, except where such exclusions are not legally permitted.

Any limitation of liability must be read subject to applicable law and shall not exclude liability that cannot legally be limited.

The parties should separately agree the treatment of liabilities arising from fraud, willful misconduct, confidentiality breaches, intellectual property infringement, data protection violations, and unpaid subscription fees.

The limitation of liability will not be finalized until the applicable financial cap and exceptions are approved.

24. Indemnification

To the extent permitted by law, the customer agrees to defend and indemnify ekigai against third-party claims arising from the customer's unlawful use of the service, violation of third-party intellectual property rights, or submission of content without the necessary rights or authorizations.

This obligation applies only to the extent the claim results from the customer's acts or omissions and is subject to the agreed contractual procedures and applicable law.

Any indemnification procedures, exclusions, or liability limits will be subject to the final commercial agreement.

25. Compliance With Applicable Laws

Customers must comply with laws applicable to their use of ekigai, including relevant requirements relating to:

  • Privacy and personal data protection.

  • Commercial electronic communications.

  • Telemarketing and direct marketing.

  • Intellectual property.

  • Anti-fraud and anti-corruption.

  • Sanctions and export controls.

  • Artificial intelligence and automated processing.

Users are responsible for determining whether particular prospecting, communication, or data-processing activities are lawful in the relevant jurisdiction.

ekigai does not provide legal, investment, or regulated professional advice through its AI-generated content.

26. Changes to These Terms

We may update these Terms to reflect changes in our services, commercial practices, legal requirements, or security obligations.

When the Terms are updated, we will revise the "Last Updated" date.

For material changes affecting existing customers, we will provide reasonable notice in accordance with applicable contractual and legal requirements.

Changes will not retroactively alter an existing agreed subscription commitment where doing so would violate applicable law or the relevant agreement.

Where renewed acceptance is legally or contractually required, we will request it before the relevant changes take effect.

27. General Provisions

27.1 Entire agreement

These Terms, together with any applicable subscription order, Data Processing Agreement, Service Level Agreement, and incorporated policies, form the agreement governing the relevant services.

27.2 Order of precedence

Where documents conflict, the order of precedence will be determined by the applicable written agreement.

27.3 Severability

If any provision is found unenforceable, the remaining provisions will continue to apply to the extent legally permitted.

27.4 No waiver

Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

27.5 Assignment

Neither party may assign its contractual rights or obligations except as permitted by the applicable agreement or law.

27.6 Independent parties

The parties are independent contractors. These Terms do not establish an employment, partnership, agency, or joint venture relationship.

27.7 Notices

Contractual notices may be provided through the designated account email, platform notifications, or other agreed communication channels, subject to applicable law.
